Stephen J. Bell is an accomplished trial lawyer whose practice centers on complex, high-stakes commercial litigation involving substantial financial exposure, parallel civil and criminal components, and sophisticated regulatory issues. He represents businesses, executives, fiduciaries, and high-net-worth individuals in disputes where millions—and often billions—of dollars are at risk, often navigating matters that span multiple jurisdictions, intersect with government enforcement, or involve emerging financial and technological sectors. In addition to his commercial litigation practice, Stephen is recognized for representing whistleblowers in major SEC, False Claims Act, and other matters, including several of the most consequential disclosures of recent years. His combined litigation and whistleblower experience gives him a uniquely strategic perspective in cases where corporate misconduct, financial fraud, and government scrutiny converge.

Complex Commercial Litigation

Stephen’s civil practice focuses on high-value, high-risk commercial disputes, including matters where hundreds of millions or billions of dollars are at stake. Stephen represents both plaintiffs and defendants in state and federal court and is comfortable handling the largest and most complex cases. His experience includes representing clients in class actions and multidistrict litigation (MDLs), as well as in securities and financial-industry disputes, high-net-worth estate litigation, and professional liability matters. He is particularly adept at handling asymmetric litigation—cases where criminal, civil, regulatory, and public-relations issues converge, requiring a unified strategy to represent clients across multiple fronts and protect both business and personal interests.

His work routinely involves coordinating ongoing litigation in state and federal courts, managing parallel proceedings, and advising clients on strategy in matters involving concerns outside the litigation at hand.

Government Investigations, Qui Tam, and Whistleblower Representation

Stephen represents qui tam relators and individuals in government whistleblower actions involving cross-border financial crimes, national security issues, and large-scale corporate misconduct. While most of his matters remain confidential, he has represented several of the most high-profile whistleblowers in recent years before the SEC Office of the Whistleblower, and regularly handles matters involving the False Claims Act, SEC Office of the Whistleblower, FinCEN / Anti-Money Laundering Act, Department of Justice Corporate Whistleblower Awards Pilot Program and related federal and foreign programs. His matters frequently involve parallel investigations by federal prosecutors, regulatory agencies, and foreign authorities.

In addition to representing whistleblowers, Stephen regularly defends individuals and businesses facing government investigations, prosecutions, or allegations of white-collar criminal offenses. His deep experience with whistleblower programs allows him to identify opportunities where cooperation or disclosure may mitigate criminal exposure—an advantage many clients do not realize is available.

Cryptocurrency, Digital Assets, Securities, and FinTech

Stephen advises litigants, stakeholders, and whistleblowers operating in the blockchain, cryptocurrency, and digital-asset sectors. He counsels clients on securities-law compliance, regulatory exposure, and the complex web of federal and state laws governing financial technologies. His work includes assisting clients seeking opinion letters, navigating SEC regulations, and pursuing or responding to enforcement actions. His experience in both traditional securities matters and emerging digital-asset frameworks positions him as a trusted advisor in an industry where there is little regulatory clarity.

Transactional and Regulatory Counsel

For select clients, Stephen serves as outside counsel to businesses across the country, advising on litigation, regulatory compliance, risk mitigation, and transactional matters. His guidance helps clients anticipate and manage exposure in industries where regulatory scrutiny is increasing, particularly in financial services, technology, and gray-market sectors.
